Terms of Service

Kaiyros is operated by Kaiyros Ai Inc, a Delaware corporation at 3353 Reservoir St, North Port, FL 34288-2441, United States. These terms cover the Kaiyros web app at app.kaiyros.ai and the Kaiyros iPhone app. By creating an account or using the service you agree to these terms.

The service

Kaiyros is a workspace for creators who earn through brand partnerships. It records the deals you agree to, the deliverables you owe, the payments you are due, and your own performance figures. Where you connect them, it reads from your email and commerce accounts to surface information you would otherwise have to find by hand.

What Kaiyros does not do for you

This section matters more than most. Kaiyros assists; it does not act as your agent. In particular, Kaiyros does not:

• Accept, decline or negotiate a brand offer on your behalf
• Send email, or reply to a brand, on your behalf
• Sign contracts or agree terms for you
• Collect, hold, disburse or guarantee any payment
• Publish to TikTok or any other platform without your explicit consent

Every figure Kaiyros extracts from an email, such as a fee or a deadline, is a reference for you to check against the original message. A quoted fee is not money earned or owed. You are responsible for confirming the terms of any agreement you enter.

Your account

You are responsible for the accuracy of what you record in Kaiyros, for keeping your credentials secure, and for the activity that happens under your account. You must be at least 18 years old, and old enough to form a binding contract in your jurisdiction, to create an account or use Kaiyros.

Subscriptions and billing

Using Kaiyros requires an active subscription plan. Plans are offered in the United States only and are charged in US dollars.

Plans and prices

Every plan is billed monthly. On the web the plans are:

• Base: $39 per month. Your first month of Base is $29, once per Kaiyros account.
• Pro: $99 per month.
• Scale: $149 per month.

Prices in the iPhone app are set through Apple’s App Store, differ from the web prices, and are shown in the app before you buy. What each plan includes, such as its weekly credits and daily limits, is shown before you subscribe. Any applicable taxes are shown at checkout.

Who bills you

If you subscribe on the web, Kaiyros bills you through its payment processor, Stripe. If you subscribe in the iPhone app, Apple bills you through your Apple ID, and Apple’s payment terms also apply. You can hold one plan at a time, and it works on the web and on iPhone alike.

Automatic renewal

Your plan renews automatically every month until you cancel it. At each renewal you are charged the plan’s monthly price then in effect, using your payment method on file or your Apple ID. An App Store subscription renews unless you cancel it at least 24 hours before the end of the current period.

Cancelling

• On the web: in Kaiyros, open Settings and choose Manage billing. This opens our billing portal, provided by Stripe, where you can cancel. You can also email diego@kaiyros.ai.
• On iPhone: open the Settings app, tap your name, then Subscriptions, and cancel Kaiyros. Kaiyros cannot cancel an App Store subscription for you.

When you cancel, your plan stays active until the end of the period you have already paid for. It then ends and you are not charged again. Your data stays in your account, and you need an active plan to use Kaiyros again.

Deleting your Kaiyros account ends a web subscription at once, and you are not charged again. It does not cancel an App Store subscription: cancel that in your Apple ID settings as described above.

Changing plans

On the web, an upgrade takes effect immediately and you are charged the prorated difference for the rest of the current period. A downgrade takes effect at the end of the current period. If the new plan allows fewer connected TikTok accounts than you have, accounts above its limit are disconnected when the downgrade takes effect. Changes to an App Store subscription follow Apple’s rules.

Refunds

Payments made on the web are not refundable, except where the law requires a refund. If you believe you were charged in error, email diego@kaiyros.ai and we will review your request. If you are charged for two web plans at the same time, we refund the duplicate.

Apple handles refunds for purchases made in the iPhone app; Kaiyros cannot issue them. You can request one from Apple at https://reportaproblem.apple.com.

Failed payments

If a renewal payment fails, it is retried (by Stripe for web plans, by Apple for App Store plans), and you can update your payment method at any time. Counted from the failed renewal:

• For the first 7 days you keep full use of Kaiyros, except that no new weekly credits are added and you cannot upgrade.
• From day 7 to day 14 your account is read-only: you can see your workspace, but you cannot use credits, AI edits or scores.
• After 14 days your access is paused until you pay. Your data is kept.

Paying at any point restores everything at once, including any credits that were held.

Credits

• Each plan includes a weekly allowance of credits for the Kaiyros assistant. It refills every week on the weekday and at the time your subscription started. Unused weekly credits do not carry over to the next week.
• Plans also have daily limits for AI edits and scores, which reset at midnight in your time zone.
• You can buy credit packs. Pack credits never expire, but they can be used only while you have an active plan. Your weekly credits are used first, then pack credits.
• The credits an action uses are shown in the app. When your credits run out, the assistant stops until your weekly credits refill or you buy a pack.
• Credits have no cash value. They cannot be sold, transferred or exchanged for money, and they are not refundable except where the law requires. Deleting your account erases any credits left.

Promotion, tester and internal codes

We may offer promotion codes, for example to testers or partners, that reduce or waive the price of a plan for a period or indefinitely. A code works only as described when you redeem it, has no cash value and cannot be sold. If a free period asks for a payment method, the plan renews at its regular price when the free period ends unless you cancel before then. Accounts used by the Kaiyros team may have internal plans at no charge. Apple offer codes are redeemed through the App Store under Apple’s terms. We may withdraw a code that is misused.

Price changes

We may change the price of a plan or credit pack. We will tell you before a new price applies to your subscription, and it applies from your first renewal after that notice. If you do not want to pay the new price, you can cancel before it applies. For an App Store subscription, Apple notifies you of a price increase and, where its rules require, asks for your consent before it applies.

Purchases through the App Store

If you get the Kaiyros iPhone app from Apple’s App Store, your use of the app is also governed by Apple’s Licensed Application End User License Agreement: https://www.apple.com/legal/internet-services/itunes/dev/stdeula/

These terms are between you and Kaiyros Ai Inc, not Apple. Apple is not responsible for the Kaiyros app or its content, and support questions go to us at diego@kaiyros.ai.

Connected accounts

Connecting a Google, commerce or social account is optional and revocable at any time. You confirm you are entitled to grant the access you grant. Those services are governed by their own terms, and their availability is outside our control. How we handle data from a connected account is described in our Privacy Policy.

When you connect TikTok Shop, Kaiyros may use that connection to read public TikTok Shop product listings (price, commission, units sold, stock) that keep the shared product library current for all Kaiyros creators. This never reads or shares your orders, earnings, samples, Showcase or messages, and you can turn it off in Settings.

Acceptable use

You agree not to:

• Use Kaiyros to break the law or a third party’s rights
• Access an inbox or account you are not authorised to access
• Attempt to breach, overload or reverse engineer the service, or evade its usage limits
• Resell or redistribute the service without our written permission

Your content

What you put into Kaiyros remains yours. You grant us only the licence needed to operate the service for you: to store, process and display that content back to you and to anyone you share it with.

Availability and accuracy

Kaiyros reads from third-party platforms whose data can be incomplete, delayed or wrong, and applies automated analysis that can misjudge a message. The service is provided as is, without warranty that it will be uninterrupted, error-free, or that any figure it shows is accurate. Do not rely on it as financial, legal or tax advice.

Limitation of liability

To the fullest extent permitted by law, Kaiyros Ai Inc is not liable for indirect, incidental, special or consequential damages, or for lost profits, lost revenue, lost partnership opportunities or lost data, arising from your use of Kaiyros.

Our total liability for any claim relating to the service is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars.

Nothing here limits liability that cannot be limited by law.

Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Disputes will be brought in the state or federal courts located in Delaware.

Ending your use

You may stop using Kaiyros and delete your account at any time, on the web or in the iPhone app. Disconnecting a connected account takes effect immediately. Deleting your account erases your data as described in our Privacy Policy; what happens to your subscription is set out under Cancelling above. We may suspend or end an account that breaches these terms, or where required by law.

Changes

We may update these terms. If a change is material we will say so before it takes effect, and the date above will be revised.
